Bunnie Poullard

Bunnie represents both entrepreneurs and established businesses – including family offices, institutional investors, real estate investment companies and cannabis retailers – in entity formation, governance, and complex corporate and investment transactions. Bunnie counsels early stage growth companies on equity and debt financings including drafting convertible notes and simple agreements for future equity, and private companies on recapitalizations, strategic investments, mergers and acquisitions, as well as with joint ventures and Regulation D offerings. In tandem, Bunnie works with institutional lenders, banks and borrowers in commercial real estate financings and syndications, drafting loan documents and performing due diligence for office, industrial, retail shopping center, and hotel real estate transactions throughout the United States. She represents investors in commercial property acquisitions and dispositions and 1031 exchanges, and drafts purchase and sale agreements, along with retail and other commercial leases and organizational documents. She also advises commercial brokerage clients on broker liability and compliance matters. Beyond her practice, Bunnie has conducted California Department of Real Estate Continuing Education courses in consumer protection. Prior to joining Barnes & Thornburg, Bunnie was an attorney with a California-based law firm, was an extern with a London-based firm and completed a summer externship for the Honorable Sheri Bluebond, Chief Judge, U.S. Bankruptcy Court for the Central District of California. Bunnie’s industry experience extends back to her pre-law school days, as she worked on the asset management team for a prominent Los Angeles commercial real estate lender, as well as at a boutique Los Angeles investment bank and a national investment bank.
